1. What these Terms cover

These Terms apply to the Site — our public marketing website, including the waitlist form. They are an agreement about visiting a website, nothing more.

They do not govern the Anuly platform or any product, evaluation, pilot, or service we provide to a customer. Those are provided only under a separate written agreement signed by both parties, which may include a business associate agreement under HIPAA and which controls over these Terms for anything within its scope. Nothing on the Site and nothing in these Terms obliges us to provide the platform to you, grants you access to it, or creates any customer relationship.

2. Changes

We may modify these Terms at any time by posting an updated version with a new “Last updated” date. Changes apply to your use of the Site from the date they are posted. We may also change, suspend, or discontinue the Site or any part of it at any time without notice.

3. Informational purposes only

The Site describes our business and our product for general informational purposes, to an audience of professionals in the self-funded healthcare ecosystem.

Nothing on the Site is legal, regulatory, compliance, fiduciary, actuarial, accounting, tax, coding, reimbursement, clinical, or medical advice, and nothing on it should be relied on as a substitute for advice from a qualified professional who knows your circumstances. References to legal and regulatory topics — including ERISA fiduciary duties, Section 501(r) of the Internal Revenue Code, and healthcare compliance generally — are simplified summaries provided for context, may not be current, and may not apply to your plan, organization, or situation. Decisions about your health plan, your claims, your compliance obligations, and any individual’s care are yours and your advisers’, not ours.

The Site does not provide medical advice, diagnosis, or treatment, and nothing on it should be used to make decisions about the care of any individual patient or member.

4. Product descriptions and availability

Descriptions of Anuly’s capabilities, features, results, and roadmap on the Site are provided for general information and may describe functionality that is planned, in development, or not yet generally available. They are not commitments, guarantees, warranties, or representations about performance, and they may change at any time without notice. Any statement about outcomes — including cost reduction, payment accuracy, or compliance improvement — describes what the platform is designed to do, not a result you should expect, and depends on your data, configuration, and circumstances. Only a signed agreement can create binding commitments about the platform.

5. Waitlist submissions

  • Submitting the waitlist form is a request to be contacted. It does not create a contract, reserve capacity, guarantee access, or oblige either of us to proceed further.
  • You agree that the information you submit is accurate, that you are submitting it in a professional capacity, and that you are authorized to provide it and to receive business communications at the address you give us.
  • Do not submit anyone else’s personal information without their permission.
  • We handle what you submit as described in our Privacy Policy. We may contact you about early access, evaluations, and product availability; you can ask us to stop at any time.
  • We may decline, remove, or ignore any submission at our discretion.

6. No protected health information or confidential data

You must not submit protected health information (PHI), personally identifiable member or patient data, claims files, medical records, payment card data, credentials, or any other sensitive or confidential information through the Site, including in the free-text field of the waitlist form.

The Site is not designed or authorized to receive that information, and no business associate agreement, non-disclosure agreement, or confidentiality obligation applies to anything you submit through it. If you send us information of that kind, we will delete it as soon as we reasonably can, and we accept no liability arising from your having sent it. To share data as part of an evaluation, contact us at privacy@anuly.io first so we can put the right channel and agreements in place.

7. Acceptable use

You agree not to, and not to help anyone else to:

  • use the Site in violation of any law, regulation, or third-party right;
  • submit content that is unlawful, false, misleading, defamatory, harassing, or infringing;
  • impersonate any person or organization, or misrepresent your affiliation with one;
  • use the form to send spam, solicitations, or bulk or automated submissions;
  • introduce viruses, malware, or any code intended to disrupt, damage, or gain unauthorized access to the Site or any system or data;
  • probe, scan, or test the vulnerability of the Site, or breach or circumvent any security, authentication, rate-limiting, or bot-protection measure, including the Turnstile check on the form;
  • interfere with the Site or place undue load on it or the infrastructure supporting it;
  • scrape, crawl, harvest, or otherwise extract data from the Site by automated means, except as permitted by our robots.txt or with our prior written consent;
  • use the Site or its content to train a machine learning or artificial intelligence model, or to develop a competing product or service;
  • frame, mirror, resell, or commercially exploit the Site or its content;
  • remove, obscure, or alter any proprietary notice or attribution.

We may investigate suspected violations and respond as we consider appropriate, including blocking access and referring the matter to law enforcement.

8. Our intellectual property

The Site and its contents — including text, graphics, design, layout, and the selection and arrangement of material — are owned by Anuly or our licensors and are protected by copyright, trademark, and other laws. Subject to these Terms, you may view the Site and print or download individual pages for your own internal, non-commercial evaluation of our products. All other rights are reserved.

“Anuly”, the Anuly logo, and our other marks are our trademarks. You may not use them without our prior written permission, except in factual references to us that do not imply endorsement or affiliation.

If you send us suggestions, ideas, or feedback about the Site or our products, you grant us an unrestricted, perpetual, irrevocable, royalty-free right to use it for any purpose without obligation to compensate or credit you. Please do not send us anything you consider confidential.

9. Third-party content and links

The Site may reference or link to third-party websites, organizations, and materials. We do not control them, we are not responsible for their content or practices, and a link or reference is not an endorsement. Third-party components used to deliver the Site are licensed by their respective owners.

10. Disclaimers

The Site and all content on it are provided “as is” and “as available,” without warranties of any kind, express, implied, or statutory. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, non-infringement, and accuracy of information.

We do not warrant that the Site will be available, uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the content is accurate, complete, or current. You use the Site and rely on its content at your own risk.

Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you, and nothing here limits any non-waivable rights you have under the law of your place of residence.

11. Limitation of liability

To the fullest extent permitted by law, neither Anuly nor its officers, directors, employees, agents, suppliers, or licensors will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, goodwill, data, or business opportunity, arising out of or relating to the Site or your use of or inability to use it, however caused and on any theory of liability, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Site will not exceed one hundred United States dollars (USD 100).

These limits apply even if a remedy fails of its essential purpose, and they reflect the fact that the Site is provided free of charge for informational purposes. They do not apply to liability that cannot be excluded or limited by law, including liability for fraud or fraudulent misrepresentation.

12. Indemnification

You agree to indemnify, defend, and hold harmless Anuly, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or connected with your use of the Site, anything you submit through it, your breach of these Terms or applicable law, or your violation of any third-party right. We may assume the exclusive defence of any matter subject to indemnification at your expense, and you agree to cooperate.

13. Governing law and disputes

These Terms and any dispute arising out of them or the Site are governed by the laws of the State of Connecticut, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing any claim, you agree to contact us at privacy@anuly.io and attempt in good faith to resolve the dispute for at least 30 days.

Venue. You and we agree to the exclusive jurisdiction of the state and federal courts located in Hartford County, Connecticut for all disputes arising out of these Terms or the Site, and each of us waives any objection to venue or personal jurisdiction there.

Time limit. Any claim relating to the Site must be brought within one year after it arises, or it is permanently barred, unless applicable law requires a longer period.

14. General terms

  • Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us about the Site, and supersede any prior understanding on that subject. They do not supersede any signed agreement covering our products or services.
  • Severability. If any provision is unenforceable, it will be limited or removed to the minimum extent necessary and the rest remains in force.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a financing, merger, acquisition, or sale of assets.
  • No third-party beneficiaries. These Terms give rights to no one other than you and us.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
  • Notices. Send notices to privacy@anuly.io. If you need to serve a formal legal notice by mail, email us there first and we will provide a mailing address; service of process may also be made on our registered agent in the State of Delaware. We may give notice to you by posting on the Site or emailing an address you have given us.
  • Relationship. These Terms create no agency, partnership, joint venture, or employment relationship.
  • Export and sanctions. You may not use the Site if you are barred from doing so under United States export control or sanctions laws.
  • Language. These Terms are drafted in English; the English version controls.
